This is a legal agreement between you (as an individual or other legal entity) and 3SGroup Ltd (sometimes marketing 3SGroup Products under the Mapyx company brand). By using this solution, you have indicated your acceptance of this agreement.

1. DEFINITIONS

"3SGroup" refers to 3SGroup Limited, a company incorporated in England and Wales, which owns the intellectual property of all solutions. “Mapyx” refers to Mapyx Limited, a company incorporated in England and Wales, which is on occasion used to market the 3SGroup solutions.

"Solutions" refers to all computer programs, codes, data, web interfaces, apps, updates, patches, and documentation that accompany the use of the 3SGroup solutions.

Specific Licences are created between 3SGroup and the licensed organisation and reference should be made to those agreements.

User refers to the licensed organisation by 3SGroup to utilise 3SGroup Solutions.

2. GRANT OF LICENSE

3SGroup hereby grants to the licensed organisation a revocable, non-exclusive, non-transferable license under the terms and conditions between the parties; see additional documentation between the relevant parties.

The User is not permitted under this license to use the solutions for any commercial purposes under this Licence other than that agreed between the parties and strictly not for commercial activities or gain. All screenshots or outputs from the solutions are not to be reproduced in any business (including internally), commercial or public forum, website or other format without written permission from 3SGroup and can only be produced with proper reference and accreditation to 3SGroup.

The products covered by this licence also relate to third party maps which are the property of that third party and can only be reproduced under separate licence from that third party (for example, Ordnance Survey).

It is the Users responsibility to obtain all and any necessary licences and permissions to reproduce any material of third parties whether produced by the 3SGroup solutions or by other means. Any breaches of copyright or intellectual property infringement will strictly be the concern and responsibility of the User and the relevant Party.

3. USER'S OBLIGATIONS

The User agrees to use 3SGroup Solutions in a manner consistent with safe and prudent navigation practices. The user shall always provide alternative means of navigation, and shall not rely on the Solutions in any role that is critical to the safety of life or property. The User agrees not to use 3SGroup Solutions while in control of any moving vehicle. No part of the Solutions is to be reverse-engineered, decompiled or disassembled. The user must not disclose any serial numbers, passwords or other security codes to any third party. The User agrees to indemnify 3SGroup for any breaches of copyright or intellectual property infringement so caused by the User. The User is entirely and completely responsible for the use of 3SGroup Solutions and damage or injury caused to persons or property that could be attributed to the use of 3SGroup Solutions and is at the sole risk of the User.

4. SUBSCRIPTION & STREAMING

If the User has opted to access 'streamed' mapping, into 3SGroup solutions, then maps will be streamed from a Server(s) to the User's computer or via a web-interface. There is no guarantee that access to these maps will be continual or consistent and the User accepts that there may be periods where no service is available, for any reason howsoever caused, and the User recognises that such streaming requires an internet connection. Any reimbursement of Subscription Charges for any interruption in Service will be at the sole discretion of 3SGroup.

5. COPYRIGHT

The Solutions is owned by 3SGroup and is protected by United Kingdom copyright laws and international treaty Provisions. The Solutions must not be copied. The User may not distribute any part of the solutions to any third party.

6. ASSIGNMENT

The User may not rent, lease, sell, transfer or assign the User's rights under this agreement to any third party. The User may not permit others to use the solutions.

7. LIMITED WARRANTY

3SGroup Solutions are provided on an "as is" basis, without any other warranties or conditions, express or implied, including but not limited to conformity to any representation or description, warranties of merchantability and fitness for a particular purpose, or those arising by law, statute, usage of trade or course of dealing. The entire risk as to the results and performance of the Solutions is assumed by you.

In no event shall 3SGroup or its distributors be liable for any damages whatsoever (including but not limited to damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising out of the use or inability to use the solutions, the diskette or the documentation. (whether such claim is based on breach of contract, indemnity, warranty, tort (including negligence), strict liability or otherwise), even if 3SGroup has been advised of the possibility of such damages. in any case, 3SGroup's entire liability under this agreement or otherwise with respect to the solutions, diskette or documentation shall be limited to the amount actually paid by the user for the solutions, diskette and documentation.

Notwithstanding the above, the uses of 3SGroup Solutions are at the sole discretion of the User and 3SGroup shall not be responsible for death, personal injury, and public liability, damage or similar, caused by the use of 3SGroup Solutions. It is the Users responsibility to ensure that all relevant insurance, learning, education and back-up solutions are in place to safely and prudently undertake any activities whether associated or not with the use of 3SGroup Solutions.

8. DISCLAIMER

3SGroup Products consist of solutions produced by 3SGroup and third-party products combined within 3SGroup Solutions.

3SGroup does not and cannot warrant that 3SGroup Solutions operate error-free.

To the maximum extent permitted by applicable law, 3SGroup provide the 3SGroup Solutions "as is and with all faults", and hereby disclaim all other warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) implied warranties, duties or conditions of satisfactory quality, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, of results, of workmanlike effort, of lack of viruses, and of reasonable care and skill, all with regard to 3SGroup Solutions, and the provision of or failure to provide support or other services, information, solutions, products, and related content through the 3SGroup Solutions or otherwise arising out of the use of 3SGroup Solutions.

9. GOVERNING LAW

This agreement is governed by the laws of England and Wales.

This Policy applies to both Companies and the name 3SGroup is used within this Policy for simplicity. The following information outlines what information we collect, what we do with it, and how you can determine how information about you is used.

2. INFORMATION COLLECTION AND USE

3SGroup is the sole owner of the information collected in its solutions. We will not sell, share, or rent this information to others in ways different from what is disclosed in this statement. 3SGroup Limited collects information from our users at several different points on our website. Tracking devices you own or rent from 3SGroup are directly linked to your account and we share contact information with the relevant third party data provider for use as approved by you for receiving tracking information and emergency contact.
